Corporate Associate Attorney (Mid-level)

The candidate should have 3 - 6 years of significant experience in mergers & acquisitions and/or private equity matters: Adept in handling domestic and cross-border work, both the buy and sell-side, in private and public transactions. Possess a solid understanding of complex structural and corporate issues pertaining to acquisitions, divestitures, strategic alliances, spin-offs, carve-outs, leveraged buyouts, recapitalizations, and tender offer. Experience working in a premier Mergers & Acquisitions practice. Exercise sound legal and business knowledge in working on a broad spectrum of cases and counseling clients with respect to ongoing matters. Ability to draft and modify Merger Agreements and other acquisition-related definitive agreements; current knowledge of “what’s market” on key terms. Ability to concisely and effectively communicate complex matters in oral and written form is a must. Innovative and forward thinking. Excellent business and legal problem solving skills. A strong work ethic, excellent leadership skills, team player attitude and action-oriented interest in taking on increased levels of responsibility for transactions will add to your success on our team. Commitment to delivering excellent client service in a team environment. Outstanding research and analytical skills are imperative. Bar Admission in California is preferred. Familiarity with venture-backed targets a plus.
