Capital Markets / Securities Associate Attorney

Profile

A law firm located in Charlotte, NC, is seeking a Capital Markets/Securities Associate Attorney to work closely with senior leadership of the firm's public and private issuer clients, as well as investor clients, on various securities offerings and compliance matters. This role involves working on capital markets transactions, securities regulation issues, corporate governance, and general business matters. The ideal candidate should have 2-4 years of experience at a large law firm with a sophisticated capital markets and securities practice. Strong academic records and excellent communication skills are required.

Duties:

• Provide legal support in securities offerings and compliance matters for public and private issuer clients.
• Work on a wide range of capital markets transactions, including registered and Rule 144A/Reg S offerings of investment-grade and high-yield debt, convertible debt, equity offerings, PIPE transactions, ATM offerings, initial public offerings, price placements, and liability management transactions.
• Advise and assist public companies on regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports, and compliance with NYSE and NASDAQ rules.
• Address corporate governance and general business matters.

Requirements:

• 2-4 years of legal experience at a large law firm with a sophisticated capital markets/securities practice.

Preferred Experience:

• Advising clients in capital markets transactions.
• Assisting with registered and Rule 144A/Reg S offerings.
• Experience with debt, equity, and liability management transactions.
• Regulatory compliance and SEC reporting for public companies.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Skills:

• Legal experience in capital markets and securities.
• Strong understanding of securities regulation issues.
• Proficiency in advising on corporate governance and business matters.
• Excellent academic records.
• Strong communication skills.
• Familiarity with SEC reporting and regulatory compliance.
