Corporate Counsel
The candidate will be responsible for providing a wide variety of legal services to the organization. Will work closely with functional business units, other departments and external stakeholders, ensuring the organization’s adherence to relevant laws and regulations. Major Accountabilities: Analyze and summarize legal documents, including contracts, and make suggestions for alterations of those documents. Advise, manage and administer contracts into which the company may enter. Draft, review and recommend approval of company policies and procedures, handbooks and other documents related to governance, regulatory compliance and business operations of the company. Analyze complex legal and factual issues, conduct extensive, well-reasoned legal research, independently develop and present options to business units to enable business initiatives while maintaining regulatory compliance. Provide legal counsel and guidance to the Compliance Manager and Compliance Analysts on matters of insurance and regulatory compliance. Provide legal counsel and guidance to officers and upper management on legal matters relevant to the company. Assist in providing oversight for completing and filing reports with appropriate federal and/or state regulatory agencies in order to ensure the company remains in compliance. Assist in filing and maintaining Canal’s trademarks with the USPTO. Assist in the review of corporate communications from a legal perspective. Perform other duties as assigned by Management. Must have Juris Doctorate with knowledge of insurance law required. Must be admitted to practice law in at least one state. Should have 3 years of broad legal experience in either a law firm or corporate legal department. Prior insurance company compliance experience preferred. Advanced computer skills (word processing, spreadsheets, databases, Internet, e-mail) required.
