Legal Director - Corporate and Securities

The candidate will work on corporate and securities matters, including public company regulations, subsidiary and legal entity management, corporate finance, mergers and acquisitions and other international transactions. Corporate governance and corporate secretariat experience advising public company boards and/or executive leadership. Extensive knowledge of, and experience advising on, corporate and securities laws and regulations for U.S. public companies, especially SEC and Nasdaq / NYSA compliance, including but not limited to ‘34 Act current and periodic reporting obligations and ’33 Act registered offerings, Rule 10b5-1 plans, Rule 144 resales. Knowledgeable in Section 16 reporting and insider trading compliance matters. Experience reviewing earnings press releases, investor presentations and other public disclosures and external communications. Familiarity with other regulatory compliance matters, such as FCPA, insider trading, sanctions, anti-trust and other similar matters. A skillful drafter and issue-spotter are completely capable of assessing both legal and business risks and providing practical, clear and concise solutions and advice. Pragmatic thinker and problem solver with the confidence, discretion and ability to advise the Board of Directors and executive leadership team. A clear, collaborative communicator with strong attention to detail, organizational skills and excellent judgment. An eager, flexible learner who’s confident handling new or novel tasks. An experienced public company attorney with a Juris Doctor from an ABA-accredited law school and admission to the New York or other acceptable Bar Association. Approximately 4-10 years of relevant in-house, public company experience and/or top law firm experience with a leading securities/capital markets practice advising public company issuers. Experience in supervising and coordinating outside legal counsel and other advisors and liaising with regulatory agencies. Government experience, particularly at the SEC, is helpful.
