The candidate will maintain/update contract templates under the direction of the General Counsel (customer, vendor/supplier, consultant, NDAs). Draft/negotiate certain standard legal terms and conditions (standard T&Cs for customer and vendor/supplier contracts; NDAs; and other template-based contracts). Manage the Contract Management Application and Database, including ensuring that all contracts (including amendments) are entered into the system and that application is used for all contracts management functions (i.e., no individual department stand-alone databases or workarounds). Serve as a gatekeeper for access, training, and use of the Contract Management Application and Database by users within the organization. Support General Counsel and/or serve as a direct interface between Legal Department and individual business units with respect to the contracting process (pre-execution). Manage/advise individual business units as needed with respect to carrying out the administration of contracts e.g., renewal, termination, amendment, etc. (post-execution). In a matrix reporting relationship with Commercial Team leadership and the General Counsel, work directly with the Commercial Team on the administration of commercial contracts (i.e., customer contracts, GPO contracts, strategic alliance contracts, etc.), including the following Maintain current database of licensing, regulatory, organization, and other legal information relevant for responding to RFPs. Ensure coordination of contract terms with commercial team management of CRM system (i.e., contract pricing, rebates, GPO administrative fees, shipping charges, etc.). Maintain Letter of Participation / Letter of Commitment templates for use by a commercial team with members of GPOs and ensure that executed LOPs/LOCs are entered in the contracts management database. Maintain grid “most favored nations” pricing obligations under relevant contracts to support compliance. Monitor, calendar, and proactively communicate with the commercial team as to contract renewal/expiration dates and (where applicable) timing, notification, and other contractual requirements for periodic price increases. Work directly with the pharmacist team to maintain required facility licensing with federal and state licensing authorities and accreditation organizations. Develop and maintain current knowledge base as applicable to products and services. Maintain preparedness for due diligence inquiries related to corporate transactions. Overall support of General Counsel across all aspects of GC role: corporate organization, governance, and finance, employment matters, insurance matters, intellectual property, regulatory matters, and litigation. Coordinate and/or provide support for training initiatives and develop follow-up protocol to monitor/reinforce compliance (e.g., NDA’s, contracting process, regulatory compliance, etc.).
