Associate Attorney, Winston & Strawn LLP, New York, NY. Conduct legal research and analysis for cross border corporate projects. Review, draft, and negotiate documents related to corporate transactions. Must have J.D. or L.L.M. and 3 years of experience with an international law firm as a corporate Associate including experience in: (i) representing private equity funds, public and private corporations, lead arrangers, banks and other financial institutions; (ii) working on domestic and cross border financing transactions, including acquisition financings, recapitalization transactions and debt restructuring transactions; (iii) negotiating and preparing commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions and other ancillary documents; and (iv) managing the deal flow and the closing process. Experience may be gained concurrently. Must also be admitted to the New York Bar. Salary: $355k-$375k.
