Associate General Counsel
Duties: Provides legal oversight and serves as a legal advisor for legal matters affecting Johnson Outdoors including but not limited to regulatory compliance, corporate governance, customer privacy, intellectual property, operations, financial and administrative activities and all major business transactions (acquisitions, divestitures, licensing, technology transfers/collaborations and joint ventures). Partners globally with business unit and functional leadership/staff such as finance, human resources, research and development, engineering, etc. on a variety of legal matters. Acts as the key legal representative on several organizational cross-functional subcommittees and working groups. Directs and oversees outside counsel and acts as a liaison between outside counsel and internal teams to ensure alignment with compliance and organizational policies and practices. Performs advanced analysis, and develops as well as implements company policies and procedures, including training, and ensures periodic monitoring. Writes reports, opinions, correspondence and other legal documents related to processes, policies, procedures, and contracting. Analyzes and researches statutes, regulations and legal issues to ensure required regulatory and legal requirements are followed. Assists in directing system-wide corporate governance processes to guide the business on how it is operated, regulated and controlled. Ensures adherence to ethical standards, best practices and protects stakeholders’ interests. Develops and communicates policies and procedures for the organization’s standards of legal and ethical conduct. Collaborates with internal audit to implement appropriate compliance and regulatory monitoring in partnership with external legal counsel for international businesses. Oversees identifies and prioritizes key risks for the organization across the globe. Supports the risk committee, conducts internal investigations and provides regular reports to senior management. Perform pre-litigation work to minimize risks and maximize legal rights. Manages outside counsel to represent the organization in important litigation cases, including preparing or reviewing the preparation of briefs and other court documents.
