Senior Counsel, Transactional & Commercial
Duties: Work with every business unit, across our offices worldwide, to provide timely and business-savvy legal advice. Support growth by delivering legal and business know-how with a great work ethic! Work closely and coordinate with a company’s business development team, tax and accounting teams, divisional business teams and specialist lawyers in connection with the review, analysis, implementation and execution of potential transactions Lead and coordinate due diligence reviews and preparation of related memoranda; as well as managing outside legal advisors on transactional and related regulatory matters Post-closing integrations Reviewing, drafting and negotiating a wide range of US & international commercial agreements (especially experience negotiating indemnities, limitations of liability, intellectual property rights, software services agreements, etc) Identifying, understanding, and managing international legal and regulatory risks related to our business.
