Private Funds Attorney
The candidate will provide advice on the formation, structuring and marketing/distribution of open-end and closed-end funds and special purpose vehicles across various jurisdictions. Prepare, review and negotiate fund offering documents and side letters as well as agreements with service providers, including administrators, custodians and placement agents. Partner with internal stakeholders, including investment, finance and administration, tax, compliance and other teams, to help develop processes and provide advice relating to all aspects of private funds. Oversee the corporate governance of private funds, including managing Board meetings. Analyze issues and provide advice under a variety of regulations, including SEC, FINRA and ERISA rules. Manage external U.S. and non-U.S. counsel on a cost-effective basis. Should have a J.D. from a top law school and licensed to practice law in the U.S. Must have 3-8 years of private fund formation experience in a national law firm or financial institution, although candidates with a similar level of experience in other investment management areas will also be considered. Knowledge of laws and regulations under the Investment Company Act of 1940, Investment Advisers Act of 1940 and other regulatory regimes impacting privately offered funds. Excellent written and verbal communication skills and high degree of attention to detail. Demonstrated initiative and self-direction. Strong organizational skills and ability to balance and prioritize multiple matters involving different groups within a global, fast-paced environment.
