Corporate Counsel (Contract)

The candidate seeks to maximize the company’s revenue while minimizing the legal and business risk associated with that revenue. Drafts, reviews, and negotiates various company contracts including but not limited to sales, SaaS, supply, consulting, non-disclosure, and vendor agreements, and other business contracts. Ensures compliance with legal, contractual, and risk management policies to minimize and limit corporate liability, manage risk, and optimize the value of contracts. Recommends alternative actions as required to conform with corporate policies and strategies. Prepares board minutes and other corporate governance documents. Provides support regarding internal reports or investigations. Drafts internal policies and procedures. Reviews and summarizes complex legacy legal agreements and provides clear advice as to Company obligations and interpretation of source documents. Possesses and maintains thorough, current knowledge of federal, state, and local laws. Performs other related duties as assigned by the General Counsel.
