The candidate will be responsible for: Prepare resolutions, minutes, and organizational documents for the Company and its many subsidiaries. Manage the corporate minute books for Company’s subsidiaries. Coordinate and oversee the services of third-party service provider for the satisfaction of subsidiary compliance requirements, including qualifications to do business and fictitious name filings. Assist with documentation and due diligence related to M&A transactions. Assist with documentation related to real estate matters, including leases, purchases and dispositions. Draft staffing and independent contractor agreements. Work with other members of the legal team on special projects and initiatives. Partner effectively with, and respond to requests from, other internal departments, including Risk, Human Resources, M&A, Finance, and Tax. Assist with board and board committee meetings by coordinating agendas, preparation of board materials and organizing and distributing information prior to meetings through the Diligent electronic board-book portal. Assist in the preparation of draft and final resolutions for board and committee meetings. Coordinate the board's annual self-evaluation process and prepare related documentation. Assist with planning and preparation for, and execution of, the annual meeting of shareholders. Support the implementation and periodic updating of policies and procedures relating to corporate governance. Assist with 10-K, 10-Q and proxy preparation, including director and officer questionnaires. Assist in the preparation and filing of Forms 8-K with the SEC. Prepare Section 16 forms for filing with the SEC. Prepare and file required annual certifications and other periodic filings with the NYSE. Coordinate insider trading communications and manage trading blackout periods. Coordinate the activities of the stock transfer agent. Communicate professionally, both verbally and in writing to coworkers and customers. Must have Bachelor's degree or equivalent. Paralegal's certificate from an accredited institution or organization required. Should have 7+ years of experience as a corporate or transactional paralegal. Notary certification preferred. Prior experience working as a corporate paralegal for a publicly-traded company strongly preferred.
