Commercial Counsel, Public Sector
The candidate will manage a large volume of sales, vendor and other contracts, guiding them through review, negotiation and execution. Draft, review and negotiate a variety of commercial agreements to support customer sales, our purchase of software and services from vendors, and growth-driven relationships with channel partners, with a particular focus on agreements relating to federal, state and local government customers. Assist in the continued design and implementation of public sector policies and compliance programs, and counsel internal stakeholders on government-specific best practices. Provide practical, decisive guidance to internal teams. Stay current on industry, commercial, intellectual property, open source, privacy and other laws, regulations, and developments to be able to give the most effective advice. Support the ongoing improvement of our contract templates, playbooks and processes, with an emphasis on efficiency and scalability. Collaborate with legal and non-legal colleagues on various projects as needed. 3-5 years as a transactions associate at a top law firm and/or at an in-house technology company; previous contracting experience in both the public and private sectors is required. Direct experience and knowledge of public sector procurement, the SaaS business model, enterprise cloud computing and related intellectual property, data privacy and security matters. JD with strong academic credentials and member of New York Bar (or other appropriate bar depending on role location).
