VP of Legal Affairs
Duties: Provide legal advice, guidance, and direction on all company matters and serve as the primary legal resource for the company, including managing and ultimately being responsible for the resolution of legal questions, concerns, and service issues related to the company and the products it manufactures and distributes. Oversee and be ultimately responsible for the company’s legal affairs. Without limiting the generality of the foregoing, such responsibility shall extend to such aspects as: general corporate matters, contracts, labor and employment, intellectual property, regulatory, corporate development, risk management, litigation, and dispute resolution. Develop and maintain an expert level of knowledge regarding the company’s vision, products, services, infrastructure, operations, markets, competitors, and regulations to achieve optimal insight into goals, opportunities, capabilities, strategies, functionality requirements, compliance, and risks. Develop and articulate a clear vision for the legal department’s direction, aligned with the company’s strategic goals and operating objectives; develop short- and long-term legal services strategies that support the company’s strategic plans. Provide guidance and support for all legal aspects associated with business growth and development activities, including investigations, evaluations, and negotiations in accordance with overall company business objectives, and provide guidance on legal issues related to any such activities. Function as a member of the company’s senior leadership team, ensuring effective operations and future success by formulating, recommending, and implementing sound legal practices, procedures, and objectives to address legal issues the company faces. Participate in the development, implementation, and evaluation of the company’s long-range strategic plans to achieve the company’s general objectives. Manage relationships with, and make referrals to, external counsel when necessary and actively manage utilization of external legal resources to maximize efficient, competent, quality representation while maintaining a prudent budget. Assist in liaising with the company’s shareholders, potential investors, investment banks, strategic investors, insurers, and lenders with respect to legal matters. Maintain comprehensive communication with company management and appropriate internal personnel, vendors, and clients regarding timelines, readiness, needs, risks, cost implications, resource requirements, and all other material aspects related to legal affairs. Establish and maintain a process and schedule to keep the company’s Chief Operating Officer and, when applicable, the company’s Chief Executive Officer current on all material legal, liability exposure, and risk management issues. Promote the company’s values and participate with company leadership in the strategic development of initiatives to identify enhancements which may improve products, services, operations, client appeal, process flow, and overall business function, industry reputation, and financial performance. Fulfill those responsibilities and/or duties that may be reasonably provided by the company for the purpose of achieving operational and financial success. Oversee the development of operating and capital budgets for legal services for the company and ensure operation within budget. Monitor financial progress of the legal department and implement corrective action plans, as appropriate. Direct the review, modification, and approval of all legal services related policies and procedures. Consult with appropriate personnel and departments to ensure that resources are made available to ensure successful implementation of new legal services related policies/procedures. Ensure that the corporate contracting process functions optimally and that appropriate policies are in place governing contractual activities. Oversee education and training to management and staff with regard to legal issues and concerns related to the medical device industry. Develop and maintain links with the outside world and across the company, building and maintaining relationships, and finding opportunities to establish or reestablish links. Other duties as assigned.
