Associate Counsel – Contracts and Compliance
The Candidate will be responsible for federal, state and local government contracting and compliance. Interact with internal stakeholders in all aspects of federal, state and local contracting and compliance including: Review and provide comments on all terms and conditions of government Requests for Proposal and associated agreements including NDAs, Teaming Agreements, Subcontract Agreements and Contract Awards. Provide guidance on special purpose entities (JVs, LLCs). Work with outside consultant to maintain our GSA Schedule. Provide counsel on potential conflicts of interest on current and potential contracts. Provide guidance on contract issues and disputes with agencies, prime contractors, and subcontractors. Maintain registration with the United States Government’s System of Award Management (SAM). Provide counsel and training regarding conflicts of interest, ethics, security clearance requirements, etc. General contracting for all internal firm matters including information technology vendors, software and application agreements, and marketing and event contracts. Client-related contracts including MSAs, Business Associate, Non-disclosure and Data Privacy Agreements. Special projects on a variety of issues including Data Privacy initiatives and compliance.
