Senior Tax Counsel and Corporate Secretary | Hybrid

The candidate will serve as the General Counsel and Secretary for AZOA Services Corporation and Allianz Foundation for North America, including providing corporate secretarial functions (i.e., corporate record keeping, domestic and foreign qualification business filings, corporate governance, board meeting planning/hosting, minutes and written actions). Closely support the Allianz US tax team to provide tax-related legal support (including tax advisory and tax risk management) to US-based insurance companies and their US affiliates in the Allianz Group including: provide US tax advice and support to non-US companies with inbound tax issues; provide advice on US domestic and international income tax matters; defend tax positions under federal and state audit and interact with taxing authorities to bring resolution to complex tax issues; respond to inquiries from tax authorities in a clear and concise manner; provide technical tax assistance to US tax professionals in order to ensure compliance with US tax laws; build relationships with internal Tax, Finance, Legal, HR, Compliance, and business leaders across various operating entities and at the Group Centers to ensure complete and timely flow of information; effectively communicate complex technical tax issues to internal stakeholders and advise business contacts in each client company on the tax impacts of business transactions and investments; actively manage outside counsel relationships; review current and potential tax legislation and regulations and provide timely updates to stakeholders on tax law changes that may impact the Allianz Group; and participate in regular meetings with the US Tax Department as well as Group Tax. Collaborate with legal professionals supporting other Allianz affiliates, including the Allianz Life Associate General Counsel, Senior Counsel – Benefits who provides benefits and compensation-related legal advice to AZOA Services Corporation (the sponsor of certain benefit plans for certain U.S. affiliates) and Allianz Life HR, the service provider of HR and benefit-related services to certain Allianz US affiliates to determine any necessary benefits-related compliance items; the Allianz Life legal litigation and employment attorneys with respect to litigation-related services provided with respect to employment-related matters; the Allianz Life legal data privacy and information security attorney with respect to data privacy and information security related legal support and advice provided with respect to services received from Allianz Life compliance; and the Allianz Life compliance department for the provision of applicable ethics and compliance services to AZOA Services Corporation (other than any tax or benefits-related compliance services, for which the individual will be responsible).
