Associate (Senior) with Kirkland & Ellis LLP (New York, New York). Work within the Capital Markets practice group, advising corporate and investment banking clients on capital markets transactions, other corporate finance transactions, and related regulatory matters. Requires a Juris Doctor or LL.M. degree, or foreign equivalent. Requires admission to the New York State Bar. Requires at least three (3) years of experience as an associate attorney or trainee solicitor with an international law firm focusing on capital markets matters. Experience must include: Advising corporate and investment banking clients on capital markets transactions, other corporate finance transactions, and related regulatory matters; Representing companies and banks on equity, equity-linked and debt capital markets transactions, including IPOs, secondary offerings, rights issues, convertible notes offerings, notes offerings, sovereign debt issuances, commercial paper programs, and medium-term note programs; Representing companies and banks on liability management transactions, including exchange offers, consent solicitations, and tender offers; Reviewing and analyzing securities and related capital markets laws, rules and regulations to ensure compliance in various transactional contexts including capital markets aspects of public M&A, and on matters involving EU directives and capital markets regulations; Advising corporate and investment banking clients on both SEC-registered and unregistered (Rule 144A/Regulation S) matters; and Advising public companies on their ongoing SEC reporting and other disclosure obligations, as well as corporate governance and regulatory compliance matters.
