The candidate's duties include: To negotiate and structure mergers, equity and asset purchases and divestitures (both tax-free and taxable), spin-offs, recapitalizations (both majority and minority), and management buyout. Should have 5-15 years of mergers and acquisitions and/or general corporate experience. Handle sophisticated mergers and acquisitions and capital raising transactions in the Firm’s transactional and emerging growth practices; draft and negotiate corporate documents such as acquisition agreements and related documents; additional experience in corporate finance, capital raising and related areas is a plus; and experience with private equity, fund-less sponsors and venture capital is preferred.
