Associate Corporate Counsel, Commercial Transactions
The candidate will be drafting and negotiating commercial contracts, including NDAs, to support all departments and business units in their day to day needs and to minimize potential risks surrounding business activities. Manage real estate portfolio, including drafting and negotiating real estate leases to protect rights and enforce compliance by the landlord of their obligations. Assist in drafting and negotiating IP-related and IT-related contracts to support each business activity from the IP and IT commercial legal and business viewpoint. Manage the KAI's IP policies and assets (i.e. patents, trademarks, trade secret, etc.) properly and provide educational training to employees and build an IP culture in KAI so that KAI may effectively and strategically utilize its IP assets for further growth and contracts for protection. Supervise IP Liaison and serve as liaison on regional and global IP matters functioning as the IP network hub between technical, business, IP Liaison, global resources and outside counsel. A Juris Doctorate (JD). Licensed to practice law in Texas and in good standing with the Texas State Bar. Should have 5 years of experience as in-house counsel drafting and negotiating contracts and 5 years of experience managing IP portfolios and managing outside counsel dealing with intellectual property rights. Experience with real estate contracts, IT contracts, NDAs and other commercial agreements. Ability to advise on IP related matters and manage outside counsel to ensure protection of IP assets. Strong interpersonal and written and oral communication skills. Strong drafting, negotiation and presentation skills. Work experience in chemical companies or equivalent. Should preferably have 10 years of experience as in-house counsel drafting and negotiating contracts and 10 years of experience managing IP portfolios and managing outside counsel dealing with intellectual property rights.
