Senior Commercial Contract Manager (Cloud)
The candidate will be responsible for developing the commercial contractual framework for cloud service offerings covering all client contracts. Will develop the commercialization construct for the Cloud Go-to-Market (GTM) framework. Deliver the framework and be able to articulate to Client Attorneys specifics on the structure including the first and subsequent negotiation points. Be able to articulate the framework and rationale for why Issuing has specifically structed the commercial terms. Works between Product Managers and Client Legal teams to develop required framing to ensure smooth drafting of client agreements. Actively lead the Issuing Product Solutions team in negotiating complex contracting structures with clients on Cloud products and services. Be the voice of Product for conversations with client attorneys for executing client agreements specifically for Cloud. Builds strong working relationships with marketing, sales, support staff, product development, commercialization, pricing, and vendors plus senior management and key customers. Full accountability for the composition of client agreements as they relate to cloud issuer products and services including all commercialization terms, services and will serve as the liaison between product and client legal teams specifically for cloud agreements. Advise on legal, finance and business considerations associated with the commercial framework for cloud. Assist in developing and implementing improvements to business processes to support the contracting process and ongoing compliance with cloud agreements. Lead contract cycle management through close-out, including contract modifications and compliance with contractual terms specifically for cloud commercialization. Review, edit, and draft responses to client terms and conditions on behalf of IPG for cloud contracts; develop or facilitate development of contract templates and other tools to be used by sales teams for commercialization of cloud products and services. Advise FIRM’S product teams and senior management and make recommendations to attorneys about contractual risks which create legal and business exposure to firm’s for cloud specific products and services. Identify risks; facilitate internal review of issues and obtain management/legal resolution. Exercise sound judgment in determining when issues require the involvement of other parts of the business or the Legal Department. Work closely with bid support personnel, pricing, and other internal organizations to minimize margin erosion and mitigate risk items between bid review and contract signature. Be knowledgeable of commercial contractual laws and practices within the software industry primarily focused on cloud products and services; possess working knowledge of firm’s Solutions (products and services) and capabilities, financial analysis (P&L), and general business laws. Develop and provide education to internal organizations (e.g. Sales, Customer Services, Professional Services and Legal associates) regarding cloud product and services contracting best practices and other relevant topics.
