Duties:

• Draft, review, and negotiate transaction documents, securities filings, and disclosure materials.
• Offer strategic advice to clients on complex corporate transactions and capital market offerings.
• Conduct legal research and analysis to ensure compliance with securities laws and regulations.
• Collaborate with client management teams to develop and execute legal strategies.
• Participate in due diligence efforts for public company advisory work and capital markets transactions.
• Stay updated on changes in securities laws and regulations and provide proactive guidance to clients.

Requirements:

• A minimum of three years of experience with public company advisory work and capital markets offerings.
• Strong understanding of corporate law, securities, and capital markets.
• Proficiency in corporate law, securities, and capital markets.

Education:

Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

Membership in the Bar in the United States.
