Duties: Review and negotiate contracts with vendors, trading counterparties and other third parties. Work on fund formation matters, including drafting and review of private placement memorandum, limited partnership agreements, investment management agreements and subscription agreements. Negotiate side letters. Work closely with the Compliance team on various compliance and regulatory initiatives, including compliance manual updates, regulatory filings and onboarding of new counterparties and vendors. Review and onboard new investment strategies. Review marketing materials and provide advice to sales and marketing teams regarding their interactions with investors and prospective investors. Field questions and provide legal advice to investment teams. Work with and manage external legal counsel. Analyze new laws, rules and regulatory guidance and their impact on the business. Collaborate with other teams within Brookfield on business and regulatory initiatives. Draft and negotiate offer letters with new employees and assist with employment law related matters.
