Senior Counsel
Duties: Ensure the conduct of legal matters and provide legal counsel and advice to the company and its subsidiaries with special emphasis on department specific matters. Provide legal counsel on an assigned basis to members of management and various departments concerning areas of expertise. Oversee and evaluate the performance and progress of outside counsel representing the company in department-specific matters. Evaluate, determine and coordinate appropriate action/position/response to be taken by the company. Act on behalf of company and participate in negotiations and drafting of legal documents, etc.. Review, analyze and make recommendations concerning compliance with federal and state laws, and regulations affecting the company’s present and future business plans, and recommend actions to affect policy compliance and adopt the best business structure for legal compliance. Conduct, or assist in conducting, litigation or administrative proceedings affecting the company’s interests in his/her field of expertise. Comply with all applicable laws/regulations, as well as company policies/procedures. Perform other duties as required.
