Assistant General Counsel

Duties: Negotiate, draft and review contracts on behalf of the firm, including client engagement agreements, independent contractor agreements, nondisclosure agreements, business associate agreements, data protection agreements, and vendor contracts. Support operational needs of the firm’s practice offices, industry groups, and internal administrative departments, including development of templates, review and negotiation of supporting operational contracts, and legal consultation on new initiatives and compliance issues. Negotiate, draft, and review combination agreements and corollary documents related to acquisition of new practice groups. Analyze and properly document conflicts of interest involving the firm and its clients, including consultation with internal stakeholders, and drafting conflict waiver agreements. Prepare and deliver training and presentations to employees, management, executives, or other members of the Legal Department on legal matters. Suggest process improvements and implement communication plan to team and internal stakeholders. Address professional liability, compliance, and regulatory issues. Assist with the development and implementation of the Legal Department strategy, vision, and goals as they align with and support the firm’s goals and objectives. Partner with the leadership within the Legal Department and the Professional Practice Group as needed on projects concerning firm policies, procedures, and risk management.
