Corporate Associate
The candidate will be engaging in hands-on drafting, negotiating, and day-to-day client communication on a daily basis. In addition to working with amazing colleagues, assisting clients who are industry leaders (particularly in the tech and biotech sectors) and are working on interesting and impactful technologies. Should possess stellar academic credentials and a demonstrated interest in the startup ecosystem or working with growth companies. Some areas of experience that are a (huge) plus for this position are Corporate transactions, including mergers and acquisitions; Experience with transactional due diligence; Fundraising and financings including venture financings and convertible securities; Day-to-day corporate experience including counseling clients, drafting consents, and reviewing contracts; and Capitalization tables, Carta, and waterfalls/pro formas. A North Carolina bar license is highly preferred; the ability to become licensed in NC is required.
