Corporate Counsel

Duties: Provides legal services of moderate to high complexity and is responsible for rendering legal advice to management and staff on a variety of issues, primarily advising on People Services matters; implementing the Company’s legal risk management program; interpreting laws and regulations; preparing, negotiating and interpreting legal documents; assisting with the negotiation and documentation of vendor and revenue contracts; coordinating the work of outside attorneys; assisting in dispute resolution, civil litigation and responses to regulatory inquiries; and assisting with business development, corporate communications and government relations. Under general supervision, this position has latitude to use initiative and independent professional judgment. Ensures the Bank’s compliance with applicable laws, regulations, regulatory requirements and Bank policies and procedures. Delivers sound, timely and cost-effective legal advice to enable the Company to meet its strategic and operational objectives, primarily focusing on People Services (Human Resources) matters. Provides legal advice and guidance on employment law matters, including but not limited to Title VII, ADA, FLMA, ADEA, HRS Ch. 378, NLRA, and FLSA matters Develops, recommends and reviews legal aspects of Company policy and procedures. Counsels People Services and business unit management on employee disputes, benefits, and potential disciplinary actions. Actively engages business and support unit managers related to legal risk identification, avoidance and remediation. Continually reviews changes in laws and regulations, and advises business units which may be affected. Assists Corporate Communications in the development of internal and external messages related to legal issues and media inquiries. Counsels on the differences between legal requirements in Hawaii and the other jurisdictions. Provides training to compliance officers and business unit management on legal risk, compliance and legislative developments. Provides legal support in the drafting, negotiation and administration of vendor contracts for People Services in coordination with Enterprise Vendor Risk Management and Sourcing department. Serves as Litigation Manager and an effective and ethical advocate for the Company in sensitive disputes and regulatory investigations. Responds to inquiries and complaints from customers and their attorneys. Assesses the legal, reputational and other risks posed by claims. Advocates the Company’s position in negotiating resolution of disputes with customers, regulators and vendors. Coordinates with outside lawyers in the handling of lawsuits, administrative hearings and other legal proceedings where the Company is involved. Assists outside counsel representing the Company by gathering documents and locating witnesses. Advances the Company’s legal rights by recommending the initiation, pursuit or defense of lawsuits, administrative hearings, arbitration cases, appeals and other proceedings. Supervises and participates in investigations of alleged misconduct by officers and employees. Assures that appropriate evidence is gathered and preserved. Serves as legal risk management representative at operations-level meetings (e.g., periodic business unit compliance officer meetings and project planning / implementation meetings). Performs all other miscellaneous responsibilities and duties as assigned.
