Corporate Paralegal
Duties: Assist with SEC and NASDAQ filings, including Forms 8-K, 10-Q, 10-K, and proxy statement. Assist with coordination of the Annual Meeting of Shareholders and related voting process with transfer agent and proxy solicitor. Assist with drafting and filing of Section 16 reports. Assist with additional public company filings as needed, including registration statements (S-8, S-3ASR, etc.). Assist with M&A and other strategic transactions as needed. Support the coordination and execution of board and committee meetings. Draft meeting materials, including agendas, resolutions, summaries, memoranda, D&O questionnaires, and other corporate governance documentation. Administer all aspects of electronic board portal and manage production and distribution of meeting materials through the portal. Manage board and committee minutes, written consents and maintain board/committee minute books and other board records. Assist with onboarding new directors and executives as needed for public company records and filings. Liaise with the Board of Directors as needed. Maintain and administer public company corporate governance policies and procedures, committee charters, governance handbook and other corporate record keeping. Coordinate subsidiary management for domestic and foreign subsidiaries, including preparation of corporate charter and other formation documents, foreign state/country qualification, withdrawals, dissolutions, mergers and amendments. Ensure annual reports for each subsidiary are filed with accurate information on a timely basis. Maintain hardcopy and/or electronic records of subsidiary minute books and filings. Maintain corporate organizational chart and subsidiary officer/director listings. Perform legal research as needed. Coordinate with Investor Relations, Treasury, Tax and Accounting departments on corporate governance matters and various cross-over projects. Assist with implementation of e-billing system and billing guidelines. Assist General Counsel and Corporate Attorney with attorney files and projects. Participate in corporate projects across the department.
