Associate General Counsel
The candidate will partner with the firm’s General Counsel and senior management with respect to risk management, legal issues and any relevant strategic initiatives. Provide guidance and proactive communication to internal and external stakeholders, including firm executives and shareholders. Provide supervision and leadership to other attorneys and associates in the firm’s Legal Department with focus on optimizing the team to support the firm’s growth initiatives and evolving organizational structure. Collaborate with legal resources cross-functionally, including, but not limited to, associates within the firm’s trust company and corporate development team. Coordinate and assist in the management of legal matters related to business transactions and acquisition diligence, corporate governance, contract review, legal research and legal document drafting. Assist in the determination of which matters are to be handled internally and which need to be handled through outside counsel. Work with management to assess, organize and manage and serve as liaison with outside legal counsel, including establishment of processes for managing expenses and oversight of quality of services provided and alignment to expectations. Oversee procurement functions, including drafting, review and negotiation of contracts and other legal documents presented for review by internal teams, and advise on related legal risks and liabilities. Support the firm’s legal, compliance and corporate efforts by drafting, revising and maintaining corporate records and documentation, as required by applicable law and regulations. Maintain the firm’s signatory policy and listing of officers and directors. Obtain and maintain working knowledge of financial institution laws and regulations and advisory and broker dealer policies and procedures. Monitor and analyze ongoing financial institution legal climate to ensure legal risk is effectively addressed and mitigated. Report on these matter to the General Counsel and senior management. Monitor and analyze ongoing privacy laws and requirements to ensure firm compliance. Perform research as assigned and prepare legal opinions regarding legal, compliance, and regulatory matters. Provide or coordinate training for the firm and its associates on relevant legal topics. Must have a law degree from a recognized university. Must be admitted (or eligible for reciprocity) to the Kansas bar. Must have 5+ years of experience gained in large law firm and/or in-house with a major firm. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Strong negotiating skills with both legal and financial/commercial issues. Ability to establish and maintain strong relationships within the organization’s legal department and across all businesses. Ability to work independently with little or no supervision. Highly organized with attention to detail. Ability to maintain confidentiality and maintain professionalism at all times, with experience in handling sensitive and confidential subject matter.
