Corporate Associate
Candidate will work in Corporate group as part of the Venture Capital and Technology team. Will representing emerging companies and venture capital firms, will advise clients in numerous types of equity and debt financings as well as M&A transactions. Use familiarity with employment matters, equity compensation matters, software licensing, and intellectual property issues to advise emerging and growth stage technology and life science companies, as well as venture capital firms and angel investors. Must have a background in outside general counsel services with emphasis on formation, equity and debt financings, and M&A transactions. 3-5 years in corporate governance of meaningful corporate/transactional experience in a large law firm setting. With strong writing, analytical, and communications skills, have excelled academically and preferably have experience in cap table and waterfall modelling and familiarity with Carta.
