Profile

A law firm seeks an experienced Associate or Of Counsel attorney to join its Real Estate group in Dallas. This role offers a dynamic and collaborative work environment, with a focus on real estate finance, joint ventures, and complex transactions. The ideal candidate will have a strong background in representing institutional equity investors and developers in high-value real estate projects, including multifamily, industrial, and commercial developments. This is an excellent opportunity for an attorney with 6+ years of experience who is looking to take on leadership responsibilities in drafting and negotiating significant real estate agreements.

Duties:

  • Real Estate Joint Ventures:
    • Represent institutional investors and developers in structuring joint ventures for the acquisition and development of multifamily, industrial, cold storage, and other commercial properties.
    • Lead the drafting and negotiation of joint venture agreements, ensuring alignment with client goals and regulatory requirements.
  • Real Estate Financing:
    • Advise institutional borrowers on the financing of construction and stabilized real estate projects.
    • Manage complex debt fund, structured finance, and CMBS-style financing transactions, including those involving mezzanine finance and other capital stack components.
    • Lead the negotiation and drafting of loan agreements, including detailed terms for commercial real estate projects.
  • Client Relationship Management:
    • Develop and maintain strong relationships with clients, providing strategic legal advice and ensuring their business objectives are met.
    • Collaborate with senior attorneys and work independently to manage matters and deliver high-quality legal services.

Requirements:

  • 6+ years of experience in real estate law, with a focus on joint ventures and real estate financing.
  • Strong track record in structuring and negotiating joint venture agreements and complex financing transactions.
  • Proven ability to lead negotiations and manage multiple high-value transactions simultaneously.
  • Excellent written and verbal communication skills, with the ability to effectively explain complex legal concepts to clients.
  • Ability to work in a collaborative team environment while also managing independent responsibilities.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the State Bar of Texas.

Skills:

  • Strong expertise in real estate finance and joint ventures.
  • Experience with debt funds, structured finance, and CMBS-style loans.
  • Ability to draft and negotiate complex agreements and contracts.
  • Excellent legal research, writing, and analytical skills.
  • Effective client management and relationship-building abilities.
  • High attention to detail and strong organizational skills.
