Corporate Paralegal - SEC/Mergers and Acquisitions

The candidate will serve in SEC Filings (including Section 16 reporting, proxy statements, Forms 8-K, 10-Q and 10-K). Will serve in Board/Committee meeting preparation, materials development and review, and annual stockholder meeting matters. Providing guidance and assistance with the management of corporate subsidiaries, director and officer information, corporate record keeping, execution of transaction documents, governance policies and compliance processes (Corporate Formalities). M&A and other strategic transactions, including providing due diligence support, and preparing and organizing deal documents. Coordinating with stock administration team to ensure management of equity plan. Partnering with other teams within the company and external parties to ensure efficient workflow and handling of requests. Insurance matters including reviewing incoming certificates of insurance (COI), fielding requests for outgoing COI’s, renewal applications, handling requests from internal clients as well as the insurance broker, etc. Leading process improvements. Providing project management assistance on various Legal Department initiatives. Organizing, tracking and filing documents using electronic tools/databases. Scheduling and coordinating department meetings. Drafting and preparing reports to management. Performing other duties as assigned.
