Commercial Real Estate Finance Attorney
The candidate will oversee outside counsel on commercial loan documentation and negotiation of terms. Manage legal documentation of in-house loan facility products, including drafting and reviewing relevant assignment and loan documents and reviewing due diligence and collateral packages. Oversee all aspects of closing and post-closing matters. Draft loan modifications, default letters, escrow letters, and collateral terminations and assist with legal-related asset management requests. Ensure compliance with bank policies. Draft, review, and negotiate commercial real estate loan documents, security documents related to real estate and/or personal property, assignments, subordinations, inter creditor agreements, discharges, participation agreements and related documents. Review entity organization and authority documents. Oversight of outside counsel with regard to commercial loan originations. Review title work and address issues related to real property. Prepare of agreements related to asset management, including loan modifications, forbearance agreements, and default letters. Review of collateral loan packages and due diligence. Juris Doctor Degree and Bar admission in one or more states is required. Should have 3+ years’ experience in law firm or corporate position representing lenders or borrowers handling commercial real estate matters, drafting and negotiating commercial real estate loan documentation and closing of commercial loans. Asset based lending experience, secured transactions and UCC experience is required.
