In House Legal Counsel
Duties: Provide leadership and guidance on a full range of legal issues, regulatory compliance, contracts, litigation, insurance and risk management, intellectual property, governance, and general corporate matters. Manages all legal business matters including outside counsel. Provide strategic legal guidance to the executive team on legal matters and ensure appropriate risk management. Collaborate cross-functionally with the company’s sales, operations, engineering, information technology, human resources, marketing, and finance groups to understand and ensure consistency of agreement terms with the company’s business, financial and risk management objectives. Draft strategic customer, supplier, and partnership documents. Consistently anticipate, communicate, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, compliance, financial and legal areas. Acquisitions: manage, or draft legal agreements including legal diligence along with providing experienced guidance to Executive team and the Board of Directors. Collaborate with Finance Dept on Bank management: manage bank relationships including bank amendments (primarily related to acquisitions) and facilitate covenant compliance. Financing: advice on legal aspects of financing, including assessing and advising on current and future business structures and legal entities coordination of disclosure schedules, and preparation of exhibits. Corporate governance: represent as counsel during board meetings and prepare resolutions, consents, and minutes. Work closely with IT, HR and Marketing to ensure compliance with global privacy laws and company policies. Set up systems for legal/contract review, storage of documentation, and document retention policies. Conduct any legal trainings. Review and approve all legal billings/invoices and work with outside legal resources. Conduct various additional other legal and ad hoc projects as required. Other duties as assigned.
