Works efficiently and collaboratively with in-house business and technology personnel, primarily through the negotiation of transactions and contracts, but also when providing counsel on complex legal concepts relating to technology and intellectual property. Works independently and under the general guidance of senior management to perform a variety of specific duties, including applying advanced analytical skills when providing legal services to FINRA companies, officers and employees in connection with commercial and regulatory matters.

Essential Job Functions:

  • Supervises, coordinates, and manages complex business negotiations underpinning FINRA’s client and vendor relationships.
  • Prepares, reviews, and negotiates complex contracts and related transactions covering, for example, inbound and outbound licensing of software and other intellectual property, tangential data privacy matters, regulatory matters, and potentially, the acquisition of interests in real property, lease and purchase of equipment, government contracts, benefits contracts, and other contracts supporting the business of FINRA.
  • Provides expert advice to client departments regarding proposed transactions, legal remedies applicable to contract enforcement, interpretation of current contracts, and corporate law.
  • Advises and collaborates with senior executives regarding contractual negotiations, and interpretation of relevant statutes and business issues arising in conjunction with FINRA’s business relationships. Exercises cross-departmental leadership and excellent interpersonal skills for the purpose of building trusted relationships between OGC and FINRA’s business, technology, finance, audit and other departments.
  • Serves as the key source of legal expertise within FINRA in one or more subject areas and provides independent expert advice on questions in these subject areas.
  • Manages efficiently and in a timely manner a dynamic and diverse array of responsibilities attendant upon the position, including drafting and ongoing negotiations, development of company-wide policies, intellectual property questions, and legal and contractual interpretation questions from internal clients.
  • Studies and interprets rules, regulations, statutes, and decisions of regulatory and quasi-judicial bodies, and advises FINRA’s various departments on the foregoing.
  • Works effectively with paralegal staff to manage the efficient completion of projects and contracts.
  • Works in a cost-effective manner with outside counsel, as necessary, in above matters.
  • Prepares and assists in supervising the preparation of corporate organizational documents.


Education/Experience Requirements:

  • Education: Law degree from a top-ranked U.S. law school and admission to the bar of the highest court of the District of Columbia or state required.
  • Prior Experience: 8+ years of directly related legal experience desired, preferably both at a major law firm and in-house.
  • Transactional Skills: Experience in drafting and negotiating complex contracts in a variety of areas, such as inbound and outbound technology, intellectual property, and data licenses, cloud computing agreements, professional and technology services agreements, confidentiality agreements, real estate agreements, agreements supporting departments such as finance and corporate communications.
  • IP Skills: Experience dealing with typical in-house questions and projects regarding corporate trademark and copyright policies and protection programs, and a good working knowledge of the basic tenets of other intellectual property rights, such as patents.
  • Analytical Skills: Demonstrated ability to analyze complex contract interpretation questions and applicability of relevant law, current judicial interpretations; demonstrated ability to present through oral and written communications the outcome of this analysis, both when explaining complex legal concepts to FINRA’s client departments and when negotiating on behalf of the company.
  • Interpersonal Skills: Demonstrated ability to lead and manage across departmental lines on behalf of OGC and the company in order to bring deals and projects to closure. Strong negotiation and influencing skills.
  • Proficiency with the use of a PC using the full suite of electronic office product applications.


Work Conditions:

  • Work is normally performed in an office environment.
  • Occasional travel and extended hours may be required on short notice.
