Corporate Paralegal
The candidate will manage and coordinate closing documentation for complex real estate and corporate financing transactions. Conduct title survey and due diligence reviews (virtual data room management). Prepare various corporate documents, certificates, and resolutions. Manage stock and option ledgers. Prepare partnership, corporation, and limited liability company formation and corporate governance documents. Assist with mergers and acquisitions; closing checklist and document management and preparation, assist clients with execution. Federal and State blue sky research and securities filings. Control all components of due diligence review for multi-million dollar mergers and acquisitions and manage all aspects of deal closings. Perform UCC searches; draft UCC financing statements, amendments, and terminations. Review and prepare documents for debt and equity financings, asset purchases, and mergers; assist clients with execution. Obtain Employment Identification Numbers (EIN) from IRS. Assist attorneys with LEXIS-NEXIS research. BA/BS degree and/or paralegal certificate from an ABA-approved program is required. Should have 3+ years of real estate and/or corporate transactional experience. Must be self-motivated and can take initiative when necessary. Strong verbal and interpersonal communication skills are essential. Must be detail-oriented and able to review, revise, and organize legal documents. Should have the ability to manage and work on multiple projects for various attorneys (good time-management skills and ability to quickly adapt to many different styles/personalities). Excellent computer skills (specifically Excel, Word, and Adobe pdf) are essential.
