Austin office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate associate general counsel/deputy general counsel with 5+ years of legal experience. The candidate will work in close collaboration with the other members of the Office of General Counsel to assist in the larger management of the legal affairs of the Firm and strategic planning for risk management, with a particular emphasis on corporate compliance and governance, partnership issues, managing firm's global partnership structure, and its various entities, compliance, and client engagements, particularly regarding transactional and project and public finance issues. Will be responsible for modeling and acting in accordance with the firm's client service standards and core values. Advise attorneys and firm administration on corporate regulatory and compliance matters, including firm governance and proposed business/legal transactions and other arrangements. Consult with the New Business Intake team and partners regarding conflicts of interest, intake issues, and engagement terms for corporate and transactional client engagements. Coordinate with co-Deputies on the review and drafting of client engagement terms. Assist General Counsel and Deputies with the administration of risk management policies. Support annual global risk management audit procedures in support of malpractice insurance renewal. Assist in responding to auditor, insurance, and client information requests and responses to Requests for Proposals and similar. Advise on reporting and disclosure matters (responses to client audit letters, opinion letters, and confidentiality issues). Work with non-US risk resources and personnel to advise Firm attorneys and staff on regulatory matters, including Solicitor Regulatory Authority regulations, Paris Bar rules, Hong Kong Law Society, Republic of China MOJ rules, PRC positions, Singapore legal, regulatory authority, and other regulations of foreign firms. Monitor Political Action Committees associated with firm partners, including contribution and lobbying filing compliance. Coordinate anti-money laundering and privacy regulatory activities with the firm's Data Protection Office and AML Office. Oversee firm corporate issues (including partnership registration and regulatory filings, firm governance, and minutes). Provide interpretations of the partnership agreement and UK and EU Members' Agreements; prepare and administer approval of amendments. Interpret other charter documents for various other firm entities, particularly for Asian-based legal practices. Coordinate governance and maintain the separateness of firm subsidiaries. Maintain schedule of director and other committee terms. Assist with UPL issues. Commercial Contracts, manage operations of Vendor Management Office. Oversee negotiation and cataloging of firm contracts. Oversee the Firm's corporate/partnership structure and advise on agreements governing the relationship of the Firm and related entities and reorganizations of related entities. Assist with the process of opening and closing offices. Oversee the firm's subsidiary structure and relationships. Assist in the resolution of foreign tax audits. Assist in the audit of the Firm's financial statements, particularly loss contingencies and other footnote disclosures. Assist in the evaluation of merger proposals. Maintain registrations of all entities. Review and approve amendments to pension plans. Assist in the development and implementation of strategic plans, goals, and specific projects for risk management. Corporate and/or transactional background required. Experience with the application of various rules and codes of professional responsibility is highly desirable. Experience in a law firm or corporate general counsel’s office is highly desirable. Experience with partnership structures and in-depth experience with corporate governance is highly desirable. Current admission in good standing is required.
