Senior Counsel
Duties: Advise Company representatives, including senior management on matters such as legal exposure, risk management, and new and existing laws. Assist in the management and oversight of corporate governance matters and adherence to Company policies and procedures and maintain knowledge of the Companys operations and legal documents. Represent the Company in dealings with third parties, including but not limited to customers and Federal, state, or local agencies or representatives. Plan and develop solutions to existing or potential legal problems and disputes, and advise management concerning the Companys legal rights and obligations. Review, draft, negotiate and provide legal analysis and counsel on commercial legal agreements associated with the Companys current and prospective business operations. Coordinate with and oversee outside counsel to ensure proper handling of matters where counsel is retained. Collaborate with Company representatives to provide counsel on the legal, regulatory and business implications of projects related to the Companys corporate strategy and objectives. Assist in the development and implementation of training for Company personnel on legal and related matters. Prepare and review presentations, documents, and pleadings as relevant and necessary and associated with the above matters or any other matters assigned to the role.
