The candidate should have 5+ years of experience in corporate transactions with an emphasis on public and private M&A, including private equity transactions. Must have solid experience with acquisition agreements and related securities filings and other documentation utilized in complex M&A and private equity transactions. Should have experience in securities (including SEC reporting and National Securities exchange compliance), capital markets and corporate finance, corporate governance, M&A, and private equity/venture capital financing matters. Qualified to practice law in California and be an active member in good standing with the California Bar Association; 5+ years of private practice experience; a knack for distilling complex legal and technical concepts into plain, concise language. Should have excellent negotiating and drafting skills; Minimum book of business preferred.
