Corporate Paralegal
The candidate will be responsible for: Manage the corporate secretary’s office, including the legal entity structure, corporate record books, and entity database. Responsible for all aspects of domestic and international legal entity maintenance. Coordinate legal entity formations, registrations, annual reports, mergers, and dissolutions. Work with outside counsel in foreign jurisdictions to maintain compliance with local legal requirements. Serve as primary point of contact to clients (tax, treasury, accounting and business), outside counsel and other third parties (CSC Corporation and other secretarial services) regarding consolidated corporate structure. Serve as liaison with European colleagues performing a similar function. Prepare standard intercompany documents (e.g. loans, contribution agreements, and dividends) and serve as primary legal contact for intercompany transactions, including coordination of outside counsel as needed. Prepare entity lists, organizational charts and records required as part of quarterly financial reporting close process. Respond to business requests for corporate authentication documents, including secretary’s certificates, notarizations, apostilles, good standing certificates and corporate seals. Associate degree required. Should have 3+ years of paralegal experience in a corporate law firm or in-house setting. Bachelor’s Degree preferred. Excellent written and verbal communication skills, and be able to write in a clear and concise manner desired.
