Assistant General Counsel, Commercial

The candidate works efficiently and collaboratively with in-house business and technology personnel, primarily through the negotiation of transactions and contracts, but also when providing counsel on complex legal concepts relating to technology and intellectual property. Work is conducted independently and under the general guidance of senior management to perform a variety of specific duties, including applying advanced analytical skills when providing legal services to the organization's companies, officers and employees in connection with commercial and regulatory matters. Prepares, drafts, reviews, and negotiates complex contracts and related transactions, including inbound and outbound licensing of software and other intellectual property, tangential data privacy matters, regulatory matters, and potentially, the acquisition of interests in real property, lease and purchase of equipment, government contracts, benefits contracts, and other contracts supporting the business of the organization. Supervises, coordinates, and manages complex business negotiations underpinning the organization's client and vendor relationships. Identifies potential issues, risks, and liability regarding proposed transactions and provides expert advice to the client department regarding legal remedies applicable to contract enforcement, business issue resolution, interpretation of current contracts, and corporate law. Utilizes expert legal knowledge to advise and collaborate with senior executives regarding contractual negotiations, and interpretation of relevant statutes and business issues arising in conjunction with the organization's business relationships, in order to mitigate risk to the organization. Exercises cross-departmental leadership and excellent interpersonal skills for the purpose of building trusted relationships between OGC and the organization's business, technology, finance, audit and other departments. Serves as the key source of legal expertise within the organization in one or more subject areas and provides independent expert advice on questions in these subject areas. Manages efficiently and in a timely manner a dynamic and diverse array of responsibilities attendant upon the position, including drafting and ongoing negotiations, development of company-wide policies, intellectual property questions, and legal and contractual interpretation questions from internal clients. Studies and interprets rules, regulations, statutes, and decisions of regulatory and quasi-judicial bodies, and advises the organization's various departments on the foregoing. Works effectively with paralegal staff to manage the efficient completion of projects and contracts. Works in a cost-effective manner with outside counsel, as necessary, in above matters. Prepares and assists in supervising the preparation of corporate organizational documents.
