Associate Attorney, Corporate
The candidate will assist in capital markets/corporate finance, and equity/debt related matters (e.g., working with outside counsel to draft documents, manage closings, support ongoing obligations, etc.). Will assist in securities/investor documentation, filings and updates. Manage corporate and limited liability company formation, maintenance and governance for firm and its subsidiaries, including drafting of board materials, meetings minutes, resolutions, and other corporate documentation. Collaborate with the Company’s finance, accounting, investor relations, and communications teams to work on external disclosures, such as investor communication materials, shareholder letters and press releases. Manage inbound and outbound due diligence for mergers, acquisitions, divestitures, financing and other corporate transactions. Assist other members of the legal team, with oversight from the subject matter experts, in various projects. Assist in the process for entering new markets and in drafting and editing license applications and renewals. Draft, review and negotiate various contracts, including NDAs, vendor and supply agreements, software agreements, real estate documents. Provide legal support for ad hoc projects for various departments, including compliance, human resources, finance, investor relations and accounting. Post-acquisition integration matters. Manage outside counsel and vendors.
