Duties: Serve as a strategic thought partner and legal advisor to the executive leadership team regarding business strategy, commercial transactions, business development and execution. All while balancing legal risks with business objectives. Proactively and creatively evaluate risk factors impacting business decisions and anticipate legal issues that could impact the company. Be knowledgeable about and anticipate legislative and regulatory changes affecting the company, especially on healthcare-specific issues, corporate governance and regulatory affairs. Determine the optimal balance between an internal team and external counsel and oversee the selection, retention, management and evaluation of outside counsel. Advise on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities. Architect and ensure compliance with all applicable laws and regulations. Advise on corporate governance and compliance matters, including the development and implementation of the organization's policies and procedures. Draft contract templates for executive use to increase the efficiency of contract negotiation. Negotiate legal terms on behalf of company directly with contracting parties to resolve legal issues to the satisfaction of both parties. Collaborate with cross-functional teams across the organization to determine their business goals and provide legal guidance.
