Executive Compensation Associate Attorney

A law firm based in Wilmington, DE, is seeking an experienced Executive Compensation Associate Attorney. The ideal candidate should have 5-10 years of sophisticated experience in drafting and advising on equity and executive compensation plans and awards, public company governance, and disclosure related to executive compensation. Additionally, the candidate should have experience dealing with executive compensation issues in contexts such as mergers and acquisitions or employment agreements. While experience with broader employee benefits, tax, corporate, and/or securities at a large law firm is preferred, the essential qualities for this role include excellent writing skills, attention to detail, a can-do, problem-solving attitude, intrinsic motivation, an ability to work collaboratively, and strong academic credentials.

Duties:

• Draft and advise on equity and executive compensation plans and awards.
• Provide guidance on public company governance and disclosure involving executive compensation.
• Address executive compensation issues within the context of mergers and acquisitions or employment agreements.
• Collaborate with legal teams and clients to navigate complex executive compensation matters.

Requirements:

• 5-10 years of relevant experience in the legal field, with a focus on executive compensation.
• Proficiency in drafting and advising on equity and executive compensation plans and awards.
• Familiarity with public company governance and disclosure related to executive compensation.
• Preferred experience in broader employee benefits, tax, corporate, and/or securities at a large law firm.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active membership in the Delaware State Bar Association or the ability to obtain it.
