Legal Counsel
The candidate will work closely with the General Counsel to identify and analyze legal issues, draft key documents, present clear recommendations to the firm's Board of Trustees and executive team, and ensure legal compliance for all the firm affiliated companies, with a primary focus on the firm's non-profit corporation, Physicians for a Healthy California (PHC), and the firm's rapidly growing physician services start-up company, the firm-PSO. Essential competencies include critical thinking (problem solving and intellectual curiosity), communication (approachability), relationship building (collaboration), and adaptation (flexibility). Serve as legal counsel for the association and its affiliated companies. Support legislative and advocacy staff. Perform legal research and analysis in a wide range of corporate and health policy issues. Draft, review, and revise contracts for the firm and its affiliated entities. Support executive leadership and upper management in negotiating contracts with third parties. Draft, review, revise, research, analyze, interpret, and advise on corporate policies and procedures and related laws and regulations. Draft, review, revise, research, analyze, interpret, and advise on bylaws and parliamentary issues for the firm, its affiliated entities, and component societies. Analyze and advise the association and its affiliated entities on issues related to commercial managed care, Medi-Cal and Medicare, workers’ compensation, peer review, medical staff self-governance, fraud and abuse, Sark, anti-kickback, privacy and security, HIPAA, and others. Manage corporate litigation and claims and supervise outside counsel in representing the association and its affiliated entities. Legislator, legislative staff, other elected officials, regulatory agencies and appointed Board members, the firm management and supervisorial staff, officials of other organizations, the firm members. Work under guidance of Chief Legal Officer and General Counsel. Juris Doctor Degree is required. Should have 3+ years of legal experience. Should preferably have corporate law, in-house counsel experience or association advocacy background. Experience or strong interest with diversity and inclusion policies is preferred. Active license to practice law in California is required.
