Senior Corporate Counsel

The candidate will serve on the leadership team of, and as lead counsel for, the Company’s ethanol business on all legal matters arising within the business, including contracting, governance, human resources, real estate, litigation, and regulatory issues. Manages legal relationship with joint venture partner. Serve as Assistant Corporate Secretary (DOE), perform corporate governance tasks for a publicly traded company and its subsidiaries including the drafting and review of documents submitted to the SEC, preparation of board materials, preparation of materials for subsidiary reorganization projects, drafting of board and committee resolutions, and providing advice on general corporate governance matters. Lead or assist in M&A, acquisition, partnership, or divesture projects, with a focus on agreement negotiation and due diligence tasks. Must be comfortable handling smaller transactions internally and independently. Draft, review and negotiate a wide variety of types and complexity of agreements common in the agricultural industry, including sales, procurement, IT, etc. Review and negotiate various types of financing agreements for the company’s treasury function, with assistance from outside counsel. Provide legal advice to the business on litigation and claims matters, including employment matters, contract disputes and NGFA arbitrations, with assistance from outside counsel. Manage outside counsel engaged for litigated matters and large transactions. Budget and manage legal fees for those matters to ensure that services are provided in an effective and efficient manner. Research and analyze laws/regulations for assigned areas of the law or business and advise leadership in their business planning regarding implications of the law. Assist with drafting of policies and involvement in legal operations matters as requested, e.g., record retention and document management.
