Senior Corporate Counsel
The candidate will provide legal advice involving a wide variety of subject matter areas, including healthcare, corporate, intellectual property, mergers and acquisitions, real estate and employment. Manage outside counsel for single-plaintiff litigation. Anticipate and protect the Company against legal risks. Assist in monitoring compliance with laws, policies and procedures, and in recommending and assisting with implementation of new policies and procedures. Prepare and negotiate contracts including commercial leases, software and other intellectual property licenses, purchase and sale agreements and service contracts. Coordinate transactions including handling legal due diligence. Monitor litigation in progress, assisting in formulation of strategy, and in preparing and reviewing legal research, motions, briefs and pleadings. Review policies and protocols for compliance with applicable laws. Research legal issues and prepare legal memoranda and correspondence. Provide legal advice regarding healthcare regulatory requirements. Keep abreast of legal developments affecting home health and hospice providers. Make recommendations regarding changes to Company protocols and procedures as appropriate to reflect applicable legal requirements and industry best practices. Assist in design and oversight of legal and compliance audits. Teach legal compliance and best practices both formally, through conducting internal programs, and informally, as a member of project work teams. May attend settlement conferences, arbitrations and mediations on behalf of the Company. Performs other duties as assigned. Law degree from accredited law school and licensed to practice law in the State of Tennessee (or capable of becoming such based upon admission to the bar of another state is required. Should have 7+ years of experience at a law firm or as in-house counsel. Experience managing litigation from initial complaint through resolution or trial is required. Experience handling management of matters requiring large-scale discovery is required. Experience drafting, revising and negotiating vendor agreements is required. Experience in Managed Care Contracting or healthcare regulatory is strongly preferred.
