Assistant General Counsel
Responsibilities: Lead a team of contract attorneys and support staff. Provide sound legal advice and counsel to Southwire in complex and diverse matters affecting day-to-day operations by assisting, advising, investigating, researching and resolving legal matters. Partner with the business to assess legal risks and develop strategic solutions to protect the Company’s interests. Oversee and assist in the development, implementation, and enforcement of processes and policies, such as contract life management (CLM) system, contract management and purchasing policies, and chart of authority. Prepare a broad range of contracts by analyzing, drafting, negotiating, reviewing and overseeing the execution of the same to ensure that Southwire’s interests are protected and that Southwire’s obligations are compatible with Company policies and applicable law. Effectively oversee outside counsel, including developing strategies that align with and achieve the Company’s strategic business objectives, coordinating with the appropriate Southwire subject matter experts, and defining the Company’s desired outcomes. Manage a high volume of legal projects, including M&A due diligence and integration activities. Develop and present topic-specific training including ongoing management of Southwire contract templates and best practices playbook. Communicate key information to necessary stakeholders to ensure parties are properly informed. Participate in internal stakeholder team meetings and provide legal advice and guidance, as needed. Partner with Southwire Commercial Sales, Product Management, and Corporate Communications teams to draft correspondence to Southwire customers, distributors, and sales agents, as needed.
