Aon Is Looking for a Senior Counsel As part of an industry-leading team, you will help empower results for our clients by delivering innovative and effective solutions through Aon’s global law department, working in Atlanta, GA. Your Impact as Counsel Aon is seeking an attorney for the position of Senior Counsel.  The successful candidate will provide legal counsel across Aon’s consulting and insurance brokerage businesses throughout the United States, with a primary focus on Aon’s US Investments business.  Ideal candidates will have strong investment and commercial legal experience, enabling them to excel in the following areas. Job Responsibilities:draft and negotiate various types of investment agreements relating to Aon’s investments business (e.g., investment advisory, investment management agreements, etc.);develop and demonstrate a familiarity with the creation of private investment vehicles in a wide variety of legal structures, as well as in a variety of investment products (e.g., ERISA funds, private credit, fund-of-hedge funds, collective investment trusts); provide contracting support and advice on matters relating to certain financial services offerings in Aon's investments lines of business;actively participate on committees and other governance processes to support existing funds and develop new investment products; interact with and provide guidance to compliance, operations, client support teams and other in-house counsel as well as offshore legal counsel, auditors and administrator; andserve as a strategic partner to Aon’s North American business leaders as we grow our business; manage regulatory and other risks; drive harmonization across solution lines; and develop new products and service offerings.Necessary Experience/Background Related to Performance Results Prior background must include:minimum four years of experience as an attorney in a law firm (preferably in the investment management practice), or with a registered investment adviser, with significant experience advising on private fund products, including determining legal structure and drafting/negotiating contracts. demonstrated ability to lead contract negotiations;strong understanding of the Investment Advisers Act of 1940, and promulgated rules and regulations thereunder, as necessary to address regulatory issues that may arise in contract drafting, negotiation and private fund formation; demonstrated practical knowledge in the regulatory issues involving investment managers, especially as it relates to addressing regulatory matters in a contracting and private fund formation context; andIn addition, experience with ERISA, regulatory examinations, Regulation D, global offering rules, co-investments, secondary sales of private fund interests and/or securities broker-dealer work are valuable experiences for this role.Skills Strong legal and analytical skills with a creative mind set and a demonstrated ability to work on time-sensitive projects.Excellent contract drafting, negotiation, written and verbal communication skills.Versatility to seamlessly support different businesses.Ability to gather facts from various sources and take initiative to get information that is not provided.Qualities such as integrity, professionalism, leadership, judgment, initiative, follow-through, strong work ethic, reliability, strategic thinking, ability to execute flawlessly, ability to work independently, relationship skills, and respect for others.Experience with the changes to the asset management regulatory and compliance environment and the resulting impact to clients.Confidence in decision-making and the ability to make good decisions based upon a mixture of analysis, experience and judgment.Comfort with a high degree of responsibility and motivation to proactively lead projects.
