Senior Paralegal
Provide advanced corporate transactional, financing, and general commercial paralegal services in a wide range of areas including but not limited to Finance, Commercial Transactions, Corporate Governance, and Real Estate. Specific duties may include: Participating in and managing various ongoing work related to the Company’s financing facilities and commercial financial transactions. Set up and manage data rooms, including review, collection, and handling of bathroom documents and collaboration with business units, counterparties to agreements, and external counsel. Support and coordinate various phases of due diligence processes preceding the launch of the transaction, including preparation for diligence calls and provision of a response to lender requests and inquiries. Gather and confirm facts and information from business clients; update related schedules, exhibits, and other documents. Support the Company’s quarterly earnings and investor calls and related activities. Organize conferences, execution sessions, and other meetings involving management, other internal stakeholders, Company’s counsel, lenders’ counsel, vendors or suppliers, etc. Engage local real estate counsel and provide various real estate-related support. Review and update closing checklists. Prepare pre-closing and closing documents for execution. Engage in closing and post-closing processes relating to transaction documents and deliverables. Facilitate contract review, revision, and execution. Review and provide comments on documents and create contract summaries. Review lien search results, including UCC lien searches. File UCC-1 Financing Statements and UCC-3 amendments. Obtain and review good-standing certificates and organizational documents from the Secretary of State's Office in multiple jurisdictions. Assist with Know-Your-Customer (KYC) requests. Assist with conflict checks, engagement of law firms, and TeamConnect/Collaborate updates. Review and support corporate governance/corporate secretary’s activities. Draft and revise minutes, resolutions, and Secretary’s Certificates. Set up and manage board governance data rooms. Review title commitments, title reports, and ownership and lienholder reports. Review surveys and legal/metes and bounds descriptions. Assist with creating Excel charts and PowerPoint presentations. Scan, organize, and file documents as part of the management of assigned matters. Should have High School Diploma. Bachelor’s Degree preferred, Or paralegal certificate from an institution approved by the American Bar Association; college training in paralegal studies or in a law degree program or completion of NALA Certified Legal Assistant exam or other paralegal certification. Should have 8 years of transactional paralegal experience. Project management skills with experience in contracts, deal closing, and governance issues; excellent organizational skills; ability to handle multiple projects and manage confidential and sensitive information; strong verbal and written communication skills. Experience with the following software/systems: Microsoft Office Suite.
