Corporate Associate Attorney

Profile

A law firm seeks a skilled Corporate Associate to join its growing team in Newark. This role offers an exciting opportunity to engage in high-profile corporate transactions and work alongside experienced attorneys in a collaborative and innovative environment. The ideal candidate will have 5-7 years of corporate law experience and will play a key role in a wide range of corporate transactions, compliance matters, and providing counsel to clients across diverse industries. Duties:

• Draft and negotiate key documents for mergers & acquisitions (M&A), financing, joint ventures, technology collaborations, licensing, and other corporate transactions.
• Provide legal advice to clients on corporate governance, compliance, and operational matters.
• Collaborate with the client’s business and legal teams to address a variety of corporate matters.
• Support clients from a broad spectrum of industries, including financial services, pharmaceuticals, technology, insurance, real estate, and more.
• Assist in structuring complex transactions, and ensuring compliance with relevant laws and regulations.
• Prepare and review contracts, legal opinions, and corporate documents.
• Participate in client meetings, offering legal advice and solutions.
• Work closely with senior attorneys to develop strategies and ensure high-quality service delivery.

Requirements:

• 5-7 years of corporate law experience.
• Demonstrated experience in drafting and negotiating corporate documents for M&A, financing, joint ventures, technology collaborations, and other business transactions.
• Ability to effectively collaborate with clients' internal teams and provide insightful legal counsel.
• Strong analytical, interpersonal, and communication skills.
• Excellent drafting and negotiation abilities, with a high attention to detail.
• Ability to manage multiple projects and deliver high-quality results under tight deadlines.

Education:

• Juris Doctor (JD) from an accredited law school with a strong academic background.

Certifications:

• Licensed to practice in the State of New Jersey (New York license is a plus).
