The candidate will review and interpret complex contracts and other legal documents while applying a working knowledge of relevant legal subject matters including contract formation, Attorney-Client Privilege and Work Product Doctrine, Uniform Commercial Code, Federal Anti-Kickback Law and Regulatory Safe Harbors. Review and draft responses to complex bids, requests for information, request for proposals or other similar-type documents. Review, draft and negotiate form and non-form Non-Disclosure Agreements, form vendor agreements, form customer agreements and other similar type agreements based on an assessment of whether modifications are acceptable to Company. Draft standard legal documents (i.e., letters of guarantee, credit-related documents). Provide legal advice to internal stakeholders on a variety of topics including application and interpretation of laws and regulations (including the Uniform Commercial Code, Federal Anti-Kickback Law and Regulatory Safe Harbors), contract interpretation, and legal exposure. Act as US Foods' legal counsel in negotiations, with outside parties, related to commercial interactions, including contract formation and disputes. Gather facts from internal clients to broaden or narrow scope of questions based on information received or subject matter of inquiry. Utilize primary and secondary resources for legal research. Manage contracts in an electronic contract management database. Perform other duties as may be assigned from time to time.
